Review a business associate agreement before signing
Checks a vendor BAA against HIPAA required terms and flags weak breach reporting, subcontractor, and data return clauses before you sign.
The prompt
Review this business associate agreement (BAA) for our clinic.
Vendor and service: [e.g. "cloud phone system", "outsourced billing company", "AI scribe tool"]
What PHI they will access, and how: [DETAILS]
Whose paper this is: [their template / ours]
The BAA text: [PASTE]
Main services agreement terms that interact with it, if any: [e.g. limitation of liability, data ownership - PASTE]
Check for the required elements and common weak spots:
1. Permitted and required uses and disclosures, and a ban on other uses (including using our PHI to train products or for marketing, unless we agree).
2. Appropriate safeguards and compliance with the HIPAA Security Rule.
3. Reporting of security incidents and breaches: timeline (flag anything vaguer or longer than what we need to meet our own 60-day deadline), content of the report, and who pays notification costs.
4. Subcontractors bound to the same restrictions.
5. Patient rights support: access, amendment, and accounting of disclosures.
6. Making books and records available to HHS.
7. Return or destruction of PHI at termination, including backups.
8. Termination rights if the vendor violates the BAA.
9. Indemnification, insurance, offshore data storage, and de-identification rights.
Return a table: Clause | What it says | Issue | Risk (high/medium/low) | Suggested redline language. Then a short summary of the top 3 things to negotiate and whether any gap is a deal-breaker. Quote the text exactly; do not assume a clause exists if I haven't pasted it. This is general information; have healthcare counsel review the final agreement.
